Terms of Service
1. Who we are and what this is
ClipCut is a brand and product operated by PostReach AI Limited ("PostReach", "we", "us", "our"), a company registered in Hong Kong. ClipCut, accessible at clipcut.pro and app.clipcut.pro (together, the "Service"), is one of the brands belonging to PostReach AI Limited.
These Terms of Service ("Terms") form a legal agreement between you and PostReach AI Limited, operating the ClipCut Service. By creating an account, paying for a plan, or using the Service in any way, you agree to these Terms. If you don't agree, please don't use the Service.
You can reach our team at support@clipcut.pro.
2. Eligibility
To use ClipCut you must be:
- At least 16 years old, or the minimum age of digital consent in your country (whichever is higher); and
- Legally able to enter binding contracts under the laws that apply to you.
If you're using ClipCut on behalf of a business, school, agency, or any other organisation, you confirm you have the authority to bind that organisation to these Terms, and "you" includes both you personally and that organisation.
3. Your account
You're responsible for everything that happens under your account. That means:
- Keep your login credentials secret. Don't share them.
- Tell us straight away at support@clipcut.pro if you suspect someone has accessed your account without permission.
- Make sure the email and information on your account are accurate. We use them to deliver clips, send important notices, and protect your account.
- One person, one account. Don't create multiple accounts to abuse credits, discounts, or rate limits.
We may suspend or close accounts that violate these rules.
4. The Service: how it works
ClipCut takes long-form videos that you provide (uploads, links to videos you have rights to, or videos shared from supported third-party platforms) and uses AI to identify viral-potential moments, cut them into short clips, add captions, reframe them for vertical platforms, and prepare them for download.
What we provide: the AI processing engine, the editing tools, the storage, the platform.
What you provide: the source videos, your decisions about what to clip, where to publish, and what to use.
We're a tool. The creative and editorial choices are yours.
4.1 Source videos and content rights
This is the most important section. Read it.
You may only upload, link to, or process content that you have the legal right to use. This means content you own, content you have a written license to use, content under a Creative Commons or similar open license that you correctly attribute, or content that falls under a recognised exception (such as fair use or fair dealing in your jurisdiction) that you have determined applies, not us.
When you provide a video to ClipCut, you represent and warrant that:
- You either own the content, or you have all necessary licenses, rights, consents, and permissions to use it and to grant us the licenses described in Section 6;
- The content does not infringe any copyright, trademark, privacy right, publicity right, contract, or other right of any third party;
- The content was not obtained in violation of any third-party platform's terms of service (including, without limitation, YouTube, TikTok, Instagram, Twitch, X, or any other platform);
- Where the source is licensed under Creative Commons or another open license, you have read the license terms and will comply with them, including providing attribution as required.
4.2 Information we share about source content
When you submit a YouTube video link, we may show you informational labels, for example, whether the video appears to be marked with a Creative Commons license or a Standard YouTube License. These labels are informational only.They are not legal advice and they don't change your responsibility to ensure you have the rights to use the content. License information from third-party platforms can be inaccurate, change over time, or be displayed to us incorrectly. Always verify the actual rights yourself before using clips publicly or commercially.
4.3 Prohibited content and uses
You may not use ClipCut to create, process, or distribute content that:
- Infringes intellectual property rights (copyright, trademark, etc.) of others;
- Constitutes defamation, harassment, hate speech, or threats;
- Sexually exploits or endangers minors in any way;
- Contains non-consensual intimate imagery, deepfakes used for harassment, or sexual content involving real people without their explicit consent;
- Promotes terrorism, violent extremism, or imminent violence;
- Includes malware, phishing, or content designed to defraud;
- Violates export controls, sanctions, or other applicable law;
- Impersonates another person in a misleading or harmful way;
- Bypasses or attempts to bypass content moderation, safety filters, or rate limits.
We may remove content, suspend accounts, or refuse Service if we reasonably believe it falls within any of these categories. In serious cases (such as child safety violations) we will report to the relevant authorities as required by law.
4.4 The output: clips you create
The clips ClipCut generates from your source videos belong to you, subject to two limits:
- The underlying rights stay with whoever owns them. If your source video belonged to someone else and you didn't have permission to clip it, generating a clip doesn't magically give you ownership.
- You grant us a limited license to host, store, and deliver the clips back to you as described in Section 6.
You're responsible for what you do with your clips after you download them. Where you publish, how you tag, whether you give attribution, whether you comply with the destination platform's rules.
5. Plans, payments, and credits
5.1 Paid subscriptions
We currently offer Creator, Clipper, and Pro plans, each available monthly or annually. Pricing, credit allocations, and feature limits are shown on our pricing pageand may be updated from time to time. The price you pay at checkout is the price that applies to your current billing period. If we change pricing, we'll give existing subscribers reasonable advance notice (at least 14 days) before the change takes effect on their next renewal.
5.2 Credits
Credits are the unit we use to meter video processing. 1 credit ≈ 1 minute of source video. Credits:
- Are allocated at the start of each billing period;
- Do not roll over to the next period (monthly plans) unless explicitly stated. For annual plans, the full allocation is granted upfront;
- Have no monetary value, are not redeemable for cash, and are not transferable;
- May be deducted for processing that fails due to invalid source files, copyright takedowns, or other issues caused by the user's input. Credits are not deducted when processing fails because of an issue on our end.
5.3 Renewals and cancellation
Subscriptions automatically renew at the end of each billing period at the then-current price. You can cancel at any time from your account settings. When you cancel, you keep access until the end of the period you've already paid for, with no further charges.
5.4 Refunds
ClipCut has powered thousands of clips since launch and is trusted by a community of over 39,000 content creators and studios who rely on the product every day. Because of that track record, paid subscriptions are final and non-refundable except where required by law.
If you're located in a jurisdiction with statutory cancellation rights (for example, the EU/UK 14-day cooling-off period for digital services), those rights still apply. Please note that by starting to use the paid Service immediately, you are expressly requesting we begin performance during the cancellation period and acknowledging that you lose your right to cancel once we have fully performed (i.e. once you've used the Service materially).
If you hit a genuine billing error or the product fails to work as described, email support@clipcut.pro before disputing a charge with your bank. We genuinely try to resolve issues directly. Chargebacks initiated without first contacting us may result in account suspension while we investigate.
5.5 Storage retention
Your clips and source files are stored according to your plan's storage tier. If you cancel or downgrade, content is retained for the duration of your current plan's storage window before being removed. Export anything you want to keep before that window ends.
5.6 Promotional codes and discounts
Promotional codes (such as a one-time 20% off win-back offer) are valid only as described, are limited per customer, expire on the dates we set, and cannot be combined with other offers unless we say so. We reserve the right to refuse, modify, or revoke any promotional code in cases of suspected fraud or abuse.
5.7 Taxes
Prices listed on our pricing page are exclusive of any applicable taxes (VAT, GST, sales tax) unless we say otherwise. You are responsible for any taxes that apply to your purchase. Where required by law, we will collect and remit those taxes.
6. License you grant ClipCut
To run the Service, we need your permission to do certain things with your content. By using ClipCut, you grant ClipCut a worldwide, non-exclusive, royalty-free, sublicensable license to:
- Host, store, copy, transmit, and back up your source videos and generated clips;
- Process them using our AI engine and third-party AI providers we use (such as transcription and analysis providers, see our Privacy Policy for the current list);
- Display them to you in your dashboard;
- Use anonymised, aggregated, or de-identified usage data (e.g. "10% of clips have a virality score above 80") to improve the Service.
This license is solely for the purpose of operating, improving, and securing the Service. It does not let us:
- Use your videos or clips to train third-party AI models;
- Sell or transfer your content to third parties;
- Show your clips to other users;
- Make your content public.
The license ends when you delete the content or close your account, except for backups held during normal business retention periods (typically 30-90 days) and any anonymised aggregate data that no longer identifies you or your content.
7. Intellectual property
7.1 Our IP
The ClipCut platform, brand, logos, software, AI models, designs, documentation, and all related materials are owned by ClipCut and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your active subscription. Nothing in these Terms transfers ownership of the platform to you.
You may not:
- Copy, modify, reverse engineer, decompile, or attempt to extract source code from the Service;
- Resell, sublicense, or rent access to the Service;
- Use the Service to build a competing product;
- Use ClipCut's name, logo, or branding without written permission;
- Scrape, crawl, or use automated means to access the Service except via our official API (if and when offered).
7.2 Your IP
You retain ownership of your source videos and the clips generated from them. We claim no ownership of your content. The license in Section 6 is the only license you grant us.
7.3 Feedback
If you send us suggestions, ideas, or feedback about ClipCut, you grant us the right to use that feedback freely without any obligation to you. We won't share who suggested it; we just want to be able to ship improvements without legal complications.
8. AI outputs
ClipCut uses AI to identify clip moments, generate captions, suggest hooks, score virality, and reframe video. AI outputs are provided "as-is" and may sometimes be wrong, weird, or unexpected. Specifically:
- AI-generated captions can mistranscribe, misattribute speakers, or include errors. Always review captions before publishing.
- Virality scores are predictions, not guarantees. Clips with high scores may flop; clips with low scores may go viral.
- AI hook suggestions and titles are generated from patterns in training data and may not be appropriate for your audience, context, or platform.
- Auto-reframing and face tracking can occasionally crop the wrong subject.
You are responsible for reviewing and editing AI outputs before publishing them. Don't ship anything you haven't checked.
9. Third-party services
ClipCut connects to and integrates with third-party services (including third-party platforms such as YouTube for video sourcing, plus categories of vendors covering payments, transactional email, cloud storage and delivery, AI inference, and analytics, summarised in our Privacy Policy). Their terms and privacy practices apply when you use those services through us. We don't control those third parties and aren't responsible for their conduct, but we do choose them carefully and audit them periodically.
10. Service availability
We aim for high availability but don't guarantee the Service will be uninterrupted, error-free, or secure. We may need to take the Service down for maintenance, updates, or to respond to security or legal issues. We'll give reasonable notice when planned downtime is required, except in emergencies.
11. Suspension and termination
By you: You can stop using the Service and close your account at any time from your account settings. Closing your account triggers deletion of your data as described in our Privacy Policy.
By us: We may suspend or terminate your account if:
- You materially breach these Terms;
- We reasonably believe you're using the Service for illegal purposes, infringing rights, or harming other users;
- Your payment fails repeatedly and isn't resolved;
- You attempt to defraud, manipulate billing, abuse promotional offers, or scrape data;
- We're required to do so by law or court order;
- We discontinue the Service entirely (in which case we'll give at least 30 days' notice and refund any unused prepaid period).
For non-emergency violations, we'll typically warn you first and give you a chance to fix the problem. For severe violations (e.g. CSAM, fraud, doxxing), we may terminate immediately without notice.
When your account ends:
- Your right to use the Service ends;
- Your stored content is deleted according to our retention rules (Section 5.5 and Privacy Policy);
- The license you granted us in Section 6 ends, except for backups held during normal retention periods and anonymised aggregate data.
12. Disclaimers
We don't warrant that:
- The Service will meet your specific requirements;
- The Service will be uninterrupted, timely, secure, or error-free;
- AI outputs (clips, captions, scores, descriptions) will be accurate, useful, or commercially valuable;
- Any clip you produce will go viral, gain followers, or generate revenue.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- ClipCut, PostReach AI Limited, and their officers, employees, contractors, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, revenue, data, goodwill, or business opportunities, even if we were advised such damages were possible.
- Our total aggregate liability to you, in connection with these Terms or the Service, will not exceed the greater of: (a) the amount you paid PostReach AI Limited in the 12 months immediately before the event giving rise to the claim, or (b) USD 100.
Some jurisdictions don't allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
Nothing in these Terms excludes or limits liability that cannot legally be excluded, including liability for fraud, gross negligence, or death or personal injury caused by negligence.
14. Indemnification
You agree to defend, indemnify, and hold harmless ClipCut, PostReach AI Limited, and their respective officers, employees, and contractors from and against any claims, damages, losses, costs, and reasonable legal fees arising from:
- Your breach of these Terms;
- Your content, including any source video you upload or link to without proper rights;
- Your use of the Service in violation of any third party's rights or any law;
- Your publication, distribution, or use of any clip generated through the Service.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top and, for material changes, notify you by email or in-app notice at least 14 days before the changes take effect. By continuing to use the Service after changes take effect, you accept the updated Terms. If you don't accept them, your remedy is to stop using the Service and close your account.
16. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region (the place of incorporation of PostReach AI Limited), without regard to its conflict of laws rules. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.
For consumers in jurisdictions with mandatory consumer protections that override choice of law (notably the EU, UK, and certain other markets), nothing in this section overrides those protections.
16.1 Try to talk first
Before filing any legal action, please email us at support@clipcut.pro. Most issues are misunderstandings we can fix in a day. We'll do our best to respond within 5 business days.
16.2 Arbitration (where permitted)
Where permitted by your local law, any unresolved dispute will be finally resolved by binding arbitration administered by the Hong Kong International Arbitration Centre under its rules then in force, by a single arbitrator, in English, in Hong Kong. Each party will bear its own costs unless the arbitrator determines otherwise.
16.3 Class action waiver
To the extent permitted by law, you and ClipCut agree to bring claims only in your individual capacity, not as a class, consolidated, or representative action.
17. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy and any plan-specific terms shown at checkout, are the complete agreement between you and ClipCut about the Service.
Severability. If any part of these Terms is held unenforceable, the rest stays in effect.
No waiver. Our failure to enforce any right doesn't waive that right.
Assignment. You can't transfer these Terms to anyone else without our consent. We can transfer them in connection with a merger, acquisition, or sale of assets, with reasonable notice.
Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, war, government actions, internet or power outages, third-party platform failures).
Notices. We send notices by email, in-app banner, or by posting on the Service. You send notices to us at support@clipcut.pro.
